ARTICLE 1: LEGAL SCOPE AND EVIDENTIARY AGREEMENT
1.1 Contractual primacy and completeness These Terms and Conditions of Sale constitute the sole and exclusive basis of the business relationship. They cancel and supersede any prior version, as well as any prior written or verbal exchange. Any derogation is valid only after written agreement signed by Happy Heroes management.
1.2 Evidentiary value and presumption of integrity The computerized records, kept in Happy Heroes' systems under reasonable security conditions, are considered as proof of communications, orders, consent timestamps and payments made. This digital data is evidence between the parties until proven otherwise; the Customer may provide evidence to the contrary by any means.
1.3 Legal value of the electronic signature In accordance with Article 1366 of the French Civil Code (Code Civil), validation of the "double click" (order click and click accepting the Terms and Conditions of Sale) constitutes a secure electronic signature. This signature manifests the Customer's informed and final consent, resulting in the sums owed under the order becoming due and unreserved acceptance of the entirety of the clauses of this contract.
1.4 Archiving and Accessibility Happy Heroes archives contracts on a reliable and durable medium constituting a faithful copy, in accordance with the provisions of Article 1379 of the French Civil Code (Code Civil). This archiving is enforceable against third parties and may be produced in court to establish the integr
ARTICLE 2: ELIGIBILITY, SECURITY CONTROL AND INTEGRITY (KYC/AML)
2.1 Legal capacity and purpose of the purchase The Customer must be a natural person of legal age (18+ years) enjoying full legal capacity to contract. The products are intended for strictly personal use; Happy Heroes reserves the right to refuse an order if it appears that it is intended for unauthorized commercial resale or for a disguised professional speculative activity.
2.2 Identity verification and KYC (Know Your Customer) protocol In accordance with anti-money laundering and financial fraud prevention guidelines, Happy Heroes reserves the discretionary right to require, prior to any shipment, the submission of a legible copy of a valid identity document as well as proof of address dated less than three months. These documents must strictly match the billing information entered on the Site.
2.3 Fraud prevention and payment security In the event of a discrepancy between the identity of the person placing the order, the bank card holder and the delivery address, or in the event of a risk being detected by our security algorithms, Happy Heroes reserves the right to:
- Suspend the execution of the order for further investigation
- Require payment exclusively by SEPA bank transfer.
- Cancel the sale automatically, with bank transaction fees potentially remaining the responsibility of the Customer in the event of a clearly established attempted fraud.
2.4 Combating abusive behavior and protecting staff Happy Heroes promotes a business relationship based on mutual respect. Consequently:
- Abuse of rights: Happy Heroes reserves the right to close any customer account and to refuse any future sale in the event of an abnormally high return rate or repeated disputes made in bad faith.
- Protection of staff: Any intimidating behavior, threats, harassment or abusive language towards customer service will result in the immediate termination of the business relationship and, where applicable, a report to the competent authorities.
2.5 Termination for documentary non-compliance Failing the provision of the supporting documents requested in point 2.2 within 48 business hours, the order will be automatically terminated. Happy Heroes cannot be held liable for any additional delivery delays resulting from this verification procedure.
ARTICLE 3: SOVEREIGNTY OF THE "HAPPY GRADE" EXPERTISE AND VISUAL MEDIA REGIME
3.1 Contractual nomenclature of condition grades (The Happy Heroes Reference Framework) The Customer acknowledges that Happy Heroes uses a proprietary grading system. By confirming their order, the Customer unreservedly accepts the following technical definitions, which take precedence over any other market terminology:
A. "Used & Loose" condition scale (Items with or without packaging):
- Excelium: Excellent condition. Conditions close to factory-fresh, with no traces perceptible at first glance.
- Platinum: Very good condition. Shows slight signs of wear (fine scratches on glossy surfaces, windows, or slight handling marks on the packaging).
- Gold: Good condition. Minor signs of wear, sometimes pronounced and clearly visible. The item overall remains highly presentable and usable in a collection.
- Silver: Marked wear. Item showing major and clearly visible deterioration.
- Bronze: Deteriorated. Item showing major deterioration, highly visible and pronounced.
- Magnificient (Loose): Bare item (without packaging), whose appearance and condition are close to new.
- Resurrection (Loose): Bare item, which may show numerous visible defects, intended for restoration or occasional preservation.
B. Specific "New & Sealed" scale (Factory-Fresh Quality):
- Excelium (Perfect): Packaging showing no defect visible to the naked eye.
- Platinum (Very good): Packaging showing few defects, all minor.
- Gold / Standard: Packaging showing overall minor defects, consistent with traditional mass-market retail.
- Only Box Destroy: Factory-fresh quality contents, but packaging heavily damaged or destroyed, with no impact on the integrity of the contents.
3.2 "Happy Heritage" Rarity and Prestige Classification The rarity indicators constitute an editorial analysis by Happy Heroes of the difficulty of acquiring the item at the time of sale:
- Gem (Common): Item that is easy to find or still commercially available.
- Legendary Treasure (Uncommon): Item no longer commercially sold, but available on the market.
- Ultimate Relic (Rare): Still findable, but in small quantities on the market.
- Mystic Artifact (Very rare): Extremely difficult to find (exceptional condition or absolute rarity).
- The Crypt (End of life): Item at the end of its life, limited interest, reserved for occasional custodians of heritage.
3.3 Assessment of condition The assessment of the aesthetic condition of a collectible item involves a degree of subjectivity. The condition is described and photographed on the product page; any defect visible there is deemed known to the Customer, without prejudice to the legal guarantee of conformity.
3.4 Absolute primacy of visual evidence (Prior examination rule) As an express derogation from any textual description, the high-definition visual media (photographs and/or videos) present on the product page constitute the exhaustive and overriding contractual definition of the item.
- Presumption of knowledge: Any defect, mark, discoloration, fold or imperfection visible or inferable from the visual media provided is deemed known, accepted and incorporated into the Customer's consent.
- Unenforceability of textual omissions: The absence of a mention of a defect in the text does not constitute a hidden defect if said defect is detectable in the image. The Customer is solely responsible for the thorough examination of the media (using the zoom function) prior to confirming the purchase.
3.5 Inviolability of the expertise against third parties (Anti Third-Party Grading) The Customer accepts that a grade assigned by a third-party certification organization (such as PSA, WATA, VGA, etc.) obtained after the sale cannot be invoked to dispute the conformity of the item delivered. Happy Heroes' standards are independent; a difference in grade with a third party does not constitute a lack of conformity.
3.6 No speculative guarantee Happy Heroes provides no guarantee of financial appreciation. The purchase is an act of collecting. The company disclaims all liability in the event of a downward fluctuation in the item's market value or a change in global collecting standards.
ARTICLE 4: LOGISTICS FLOWS AND AVAILABILITY REGIME
4.1 Nature of flows and indicative timeframes Happy Heroes operates two distinct logistics flows: internal stock (immediately available) and the "Partners/Wholesalers" flow (pre-orders or restocks).
- Indicative timeframe: For items in the partner flow, the shipping timeframes displayed are provided by manufacturers/distributors on a purely indicative basis.
- Late delivery: Happy Heroes informs the Customer as soon as it becomes aware of a production delay, a shift in the release schedule, a logistics strike or a failure of a third-party supplier. A late delivery does not constitute a lack of conformity. If no date or deadline is indicated, the item is delivered no later than 30 days after the order. If the delivery date or deadline is not met, the Customer may require Happy Heroes, in writing, to deliver within a reasonable additional period and, failing delivery within that period, terminate the contract in writing; the sums paid are then refunded no later than 14 days after termination (Art. L216-1 to L216-6 of the French Consumer Code).
4.2 Arbitration of simultaneous sales and unique items Given the often unique or ultra-limited nature of the Products, a sale may exceptionally be confirmed even though stock is exhausted (timestamp conflict).
- Priority rule: In the event of colliding orders for the same item, absolute priority is given to the transaction with the earliest payment timestamp (server log).
- Automatic termination: The "second" order will be automatically terminated; the Customer is informed without delay and the amounts paid are refunded in full no later than 14 days. The Customer cannot demand delivery of a substitute item; the Customer retains the right to compensation for any damage suffered under ordinary law.
4.3 Clause of absolute lapse for internal force majeure The sale is concluded subject to the condition precedent of the physical presence of the item and its condition at the time the parcel is prepared (picking).
- Triggering events: In the event of a stock error, loss, theft in the warehouse, or damage found during the pre-shipment quality control (e.g., a fall, tampering with the seal), Happy Heroes reserves the right to declare the sale automatically null and void.
- Refund: In this case, Happy Heroes informs the Customer without delay and refunds the amounts received in full no later than 14 days. This refund does not deprive the Customer of the right to compensation for any damage suffered under ordinary law.
4.4 Allocation Regime (Manufacturer Quotas) For high-demand pre-orders, manufacturers may apply "allocations" (unilateral reduction of the quantities delivered to the retailer).
- Chronological priority: If Happy Heroes receives fewer units than orders recorded, products will be allocated in the strict chronological order of pre-orders.
- Free cancellation: Orders that cannot be fulfilled due to a manufacturer's decision will be cancelled and refunded. Happy Heroes is under no obligation whatsoever to source products on the secondary market at a higher price to fulfill a pre-order affected by an allocation.
4.5 Mixed orders For an order that mixes in-stock items, items to be received (made to order, restocking) and pre-order items, you choose at checkout: either a grouped shipment, in a single parcel sent when all the items are in, with a single shipping charge; or one parcel per group of items (in stock, to be received, pre-order), each parcel leaving as soon as its group is ready, with its own shipping charge. Shipping for parcels sent before the pre-order is released is paid with the order; the pre-order parcel's is charged with the balance. The balance is only charged when the pre-order items are shipped.
4.6 Sales to the United Kingdom, Jersey and Guernsey For delivery to Great Britain, your items and shipping are invoiced without French VAT (export). The £135 threshold applies per shipment: if the items in a shipment are worth £135 or less, UK VAT at 20% is included in the price you pay at checkout and collected by Happy Heroes (VAT no. GB049517888). Above £135 for a shipment, no VAT is charged at checkout for that shipment: UK VAT (20%), any duties and the carrier's fees are payable on delivery. For Jersey and Guernsey, your items and shipping are also invoiced without French VAT; local taxes may be charged on delivery. Northern Ireland is invoiced like a delivery within the European Union.
4.7 Clan price The Clan price shown on a product page applies to any order placed by a member of the Clan des Protecteurs signed in to their account: a member, with no purchase required and no end date, is any account that has created its protector, joined a clan or added the (free) Clan Card. A customer who is not yet a member can add the Clan Card to their cart before paying: the Clan price then applies to that order. The Clan Card given when the account is created during checkout applies to the following orders.
ARTICLE 5: INVIOLABILITY PROTOCOL AND WITHDRAWAL REGIME
5.1 Proprietary Security Device (Happy Seal) Each Product shipped is secured by the affixing of one or more proprietary numbered or tamper-evident stickers (of the "VOID" or holographic type). The Customer acknowledges that the presence of these seals is the sole condition guaranteeing the authenticity and integrity of the item at the time it leaves Happy Heroes' warehouses.
5.2 Depreciation and opening of the seal (Art. L221-23) In accordance with Article L221-23 of the French Consumer Code (Code de la Consommation), the Customer is liable only for any depreciation of the goods resulting from handling other than what is necessary to establish their nature, characteristics and proper functioning.
- Role of the seal: The Happy Heroes seal attests to the authenticity and condition of the item at the time of shipment.
- Return of an opened item: An item whose Happy Heroes protective seal has been opened may be returned within the 14-day withdrawal period; opening the seal alone does not justify any deduction. In accordance with Article L221-23 of the French Consumer Code, only the depreciation resulting from handling other than what is necessary to establish the nature, characteristics and proper functioning of the item (assembly, display, signs of use, missing parts…) may be deducted from the refund. This depreciation is assessed case by case, after examination of the returned item; its amount is justified to the Customer before the refund. If the item has a defect that was not visible from the outside, the refund is made in full and the return costs are borne by Happy Heroes. The “protective outer box” supplement, an optional extra chosen on top of standard delivery, is not refunded in the event of withdrawal.
- Refund deadline: The refund is made no later than 14 days after the Customer's withdrawal request; it may wait for receipt of the item or proof of its dispatch (Art. L221-24).
5.3 Indivisibility and integrity of the "Collector Packaging" The original packaging (box, inserts, instructions) is contractually defined as an inseparable part of the Product.
- Prohibition of logistical alteration: Affixing third-party adhesives, shipping labels or handwritten notes directly on the collector packaging when making a return is strictly prohibited.
- Consequence: For any return that does not respect the aesthetic integrity of the original packaging (marks of forceful opening, tears or additional tape), the depreciation found is deducted from the refund; its amount is justified to the Customer before the refund.
Before opening the seal: check the outside. On receipt, examine the item without opening the Happy Heroes protective seal: box, seal, visible condition. If something does not suit you, this is the time to exercise your right of withdrawal (14 days from receipt, return costs at your expense). If Happy Heroes provides you with the return label, its cost is deducted from your refund. Once the seal has been opened, a return remains possible. Only a depreciation resulting from handling beyond what is necessary to check the item (assembly, display, signs of use, missing parts…) may be deducted from your refund, after case-by-case review; its amount is justified to you before the refund. In the event of a defect not visible from the outside, the refund is made in full.
5.4 Obligation of double packaging for returns A Customer wishing to exercise their right of withdrawal (14 days) undertakes to:
-
Return the complete item (box, inserts, instructions).
-
Reship the item in its original protective outer box (or an equivalent double-corrugated box).
-
Insure the shipment on an "Ad Valorem" basis for the full value of the transaction. The Customer bears full responsibility for the risks of transport during the return (breakage or loss).
5.5 Video games, films and software in their original shrink-wrap (Art. L221-28, 9°) In accordance with Article L221-28, 9° of the French Consumer Code (Code de la Consommation), the right of withdrawal cannot be exercised for audio or video recordings and computer software (video games in particular) sold in their original shrink-wrap or film, once they have been unsealed by the Customer after delivery. As long as the original shrink-wrap is intact, the 14-day right of withdrawal applies as normal.
5.6 Withdrawal form The Customer may exercise the right of withdrawal by filling in the model withdrawal form, or by any other unambiguous statement sent to Happy Heroes.
ARTICLE 6: ARCHIVED EVIDENCE PROTOCOL AND UNBOXING OBLIGATION
6.1 Preparation archiving and evidentiary value Happy Heroes implements a systematic digital archiving protocol (high-definition photography or videography) for each shipment. This process documents the condition of the Product, the presence of the numbered proprietary sticker, the internal padding and the sealing of the parcel.
- Enforceability: The Customer accepts that this archiving constitutes formal proof of the contents and conformity of the shipment. In the event of a dispute, these documents shall prevail over any statement by the Customer not supported by equivalent physical evidence.
6.2 Video Unboxing Clause (Recommended means of proof) Given the fragile nature and collectible value of the Products, Happy Heroes strongly recommends filming the opening of any parcel with a cumulative value greater than or equal to €100 ("Video Unboxing").
- Required technical standard: The video must be recorded as a single, uninterrupted continuous shot (with no editing or cuts), clearly showing the shipping label, the integrity of the adhesive tape, the opening of the box and the removal of the item up to the visual inspection of the Happy Heroes proprietary sticker.
- Evidential value: This video is the most reliable means of proof for any claim relating to a missing product, a wrong reference or internal damage not visible on the carton; it does not exclude other means of proof (Article 6.3).
6.3 Other means of proof Without an unboxing video, the Customer may establish a missing item, an error or damage by any means (photos, reservations, carrier's report or parcel weight…). Happy Heroes examines each claim case by case.
6.4 Procedure in the event of transport damage (Notice of loss/pilferage) If the parcel arrives visibly damaged (crushed, opened, postal service adhesive tape), the Customer is invited to:
-
Refuse the parcel (recommended) or record precise and justified handwritten reservations on the delivery driver's terminal.
-
Take photographs of the outer packaging before any handling.
-
Report it to Happy Heroes in writing, if possible within 3 days of receipt (excluding public holidays), to preserve recourse against the carrier (Art. L133-3 of the French Commercial Code). The risks of loss or damage pass to the Customer only when the Customer takes physical possession of the item (Art. L216-4 of the French Consumer Code): a signature without reservation does not deprive the Customer of their rights against Happy Heroes.
ARTICLE 7: WARRANTY REGIME AND SPECIFIC "VINTAGE" EXCLUSIONS
7.1 Scope of the Conformity Warranty and Condition of Use In accordance with the law, Happy Heroes guarantees the conformity of the Products. However, the Customer expressly accepts that the very nature of a collectible or used ("Vintage") item involves normal wear related to age.
- Functional limitation: The conformity warranty applies only to defects not resulting from natural obsolescence or the normal aging of components.
- "Sealed" items: For new products under a period-original seal, the legal guarantee of conformity applies under the conditions of Articles L217-3 et seq. of the French Consumer Code, taking into account the age of the product as described on its product page.
7.2 Clause on acceptance of chemical and physical obsolescence The purchase of old technological items involves unpredictable technical risks, which the Customer declares to accept unreservedly:
- Chemical degradation: Happy Heroes provides no guarantee against electrolyte leakage (leaking period-original batteries) or capacitor wear, these phenomena being natural and unavoidable chemical processes.
- Physical degradation: Yellowing of plastics, weakening of components (bit-rot on optical or magnetic media) and loss of spring tension are hazards inherent to the vintage market.
- Legal guarantee: The exterior aesthetic description at the time of the transaction is authoritative. An internal technical failure appearing after the item is powered on falls under the legal guarantee of conformity under the conditions of Articles L217-3 et seq. of the French Consumer Code, taking into account the age and condition of the item described on its product page.
7.3 Technical Tamper-Evident Seal (VOID Chassis) In order to prevent any internal tampering, component substitution or unauthorized repair attempt, Happy Heroes may affix a security seal to the assembly screws or chassis of consoles and accessories.
- Opening of the chassis seal: Breaking, drilling or removing this chassis seal deprives the Customer neither of the right of withdrawal nor of the legal guarantee of conformity. The return remains accepted within the 14-day withdrawal period; only a depreciation resulting from handling other than what is necessary to establish the nature, characteristics and proper functioning of the item may be deducted from the refund, after case-by-case review, its amount being justified to the Customer before the refund (Art. L221-23). The legal guarantee of conformity remains due, except for damage caused by opening the chassis.
7.4 Exclusion related to the use environment The warranty is strictly excluded in the following cases:
-
Non-official equipment: Use of the item with non-official, generic or unsuitable accessories, cables or power supplies (overvoltage, incorrect amperage).
-
Modification (Modding): Any attempt at software or hardware modification carried out by the Customer or a third party.
-
Storage conditions: Damage resulting from exposure to humidity, direct sunlight (UV) or extreme temperatures after delivery.
7.5 Manufacturing Tolerances (Figurines and Statues) For new collectible items (Statues, Figurines), variations in hand-applied paint and micro traces of glue inherent to the series, which affect neither the integrity of the item nor its description on the product page, do not constitute a lack of conformity. In the event of a lack of conformity, Happy Heroes, as the seller, owes the legal guarantee of conformity: repair or replacement of the item or, failing that, a price reduction or termination of the sale (Art. L217-8 et seq. of the French Consumer Code).
ARTICLE 8: TRANSPORT REGIME AND "AD VALOREM" INSURANCE
8.1 Transfer of Risk and Liability (Art. L216-4) In accordance with Article L216-4 of the French Consumer Code (Code de la Consommation), the transfer of risk of loss or damage to the Customer occurs at the moment when the Customer, or a third party designated by them (including neighbors or caretakers), physically takes possession of the Product.
- Pickup Point delivery: Handover of the parcel by the partner merchant to the Customer constitutes an immediate transfer of risk.
8.2 Mandatory "Ad Valorem" Insurance Protocol Mindful of preserving collectible heritage, Happy Heroes imposes and takes out actual-value insurance (Ad Valorem) for any shipment whose transaction value is equal to or greater than €100.
- Cost of the safeguard: This insurance guarantees the refund or replacement of the Product in the event of proven loss or pilferage during transit, subject to strict compliance with the claims procedure described in Article 8.3.
8.3 Claims Procedure The Customer is invited to check the condition of the packaging and the integrity of the adhesive tape in the presence of the delivery driver.
- Refusal due to damage: Any parcel showing signs of crushing, puncturing, opening or repackaging (carrier tape such as "La Poste" or "Chronopost") may be refused (recommended).
- Clearly stated reservations: If the Customer accepts the parcel, they are invited to record precise, dated and signed handwritten reservations on the delivery slip (e.g., "Parcel received torn open, item visibly damaged"). The wording "subject to unpacking" is too vague to describe the damage.
- Effect of an unreserved signature: Precise reservations facilitate recourse against the carrier. However, a signature without reservation does not deprive the Customer of their rights against Happy Heroes: the risks of loss or damage pass to the Customer only upon taking physical possession of the item (Art. L216-4 of the French Consumer Code).
8.4 Presumption of Pilferage and Proof of Shipment Happy Heroes archives visual proof (photo/video) of the sealed parcel and its exact weight to the nearest gram before handing it over to the carrier.
- Dispute over contents: In the event of a claim for an "empty parcel" or "missing item" while the outer packaging is intact, only the video unboxing proof (Article 6.2) may be raised against Happy Heroes' preparation archiving to trigger an investigation.
8.5 Returns to sender and Customer negligence If the parcel is returned to Happy Heroes due to an incomplete or incorrect address, or failure to collect the parcel from a Pickup Point within the allotted time, the reshipping costs will be entirely borne by the Customer. In the event of a refund request in this context, the initial shipping costs and the return costs charged by the carrier will remain the property of Happy Heroes.
ARTICLE 9: RETENTION OF TITLE AND INTELLECTUAL PROPERTY RIGHTS
9.1 Retention of Title Clause (Law No. 80-335) Happy Heroes retains full, entire and exclusive ownership of the Products sold until effective and full payment of the price, including principal, fees, taxes and incidental charges.
- Non-payment: Failing full payment by the agreed due date (in particular in the event of a bank rejection, an abusive chargeback or a stop payment), Happy Heroes reserves the right to demand, by simple registered letter, the return of the Products at the Customer's expense and risk.
- Holder's liability: Until ownership is transferred, the Customer is obligated to keep the Products in perfect condition. The Customer is liable for any depreciation, loss or destruction occurring before payment in full.
9.2 Intellectual Property of the Happy Heroes Brand All content present on the Site (logos, text, graphic charter, slogans, site structure) is the exclusive property of Happy Heroes.
- Prohibition of reproduction: Any full or partial reproduction, imitation or use of the "Happy Heroes" brand or its distinctive elements is strictly prohibited without prior written consent, under penalty of legal action for infringement and unfair competition.
9.3 Property Rights over Visual Media and Expertise The photographs, videos and technical descriptions (Happy Grade) published on the Site are original works protected by copyright.
- Restricted use: The purchase of a Product confers no rights on the Customer over the visual media produced by Happy Heroes.
- Prohibition of third-party commercial use: The Customer or any third party is strictly prohibited from reusing Happy Heroes' HD photographs or expertise videos to resell the item on third-party platforms (eBay, Vinted, Leboncoin, etc.). Any unauthorized use of Happy Heroes visual media for commercial purposes will result in a flat-rate usage fee of €150 per photograph being invoiced, without prejudice to legal proceedings.
9.4 Respect for the Rights of Manufacturers and Rights Holders The acquisition of a collectible item (figurine, video game, statue) transfers no intellectual property rights over the work itself.
- Limitation of use: The Customer shall refrain from any act of reproduction, modification, decompilation or commercial exploitation of the trademarks, characters, software or universes associated with the Products sold. Use is strictly limited to private use within the family circle.
ARTICLE 10: DISPUTE RESOLUTION, MEDIATION AND JURISDICTION
10.1 Obligation to attempt prior conciliation In the event of a dispute relating to the interpretation, performance or termination of this contract, the Customer imperatively undertakes to contact Happy Heroes' customer service by email or registered letter with acknowledgment of receipt in order to attempt an amicable resolution. No legal action or third-party report will be deemed admissible if proof of a prior attempt at amicable resolution is not provided by the Customer.
10.2 Consumer Mediation Scheme In accordance with Articles L.612-1 et seq. of the French Consumer Code (Code de la Consommation), the Customer has the right to use a consumer mediator free of charge with a view to the amicable resolution of the dispute between them and Happy Heroes.
- Conditions for referral: The dispute may only be examined by the consumer mediator when the Customer proves that they have first attempted to resolve their dispute directly with Happy Heroes through a written complaint, and that this attempt has failed or has remained unanswered after a period of 60 days.
- Designated mediator: CNPM-MCC — 27 av. de la Libération, 42400 Saint-Chamond — cnpm-mediation-consommation.eu.
10.3 Applicable law and language of the contract By express agreement, this contract is governed by and subject to French Law, regardless of the Customer's country of residence or the place of delivery. The reference language of this contract, which shall prevail in the event of a dispute, is the French language. Any translation provided on the Site is for informational purposes only; only the French version is contractually binding on the parties.
10.4 Jurisdiction clause (Territorial competence) Any dispute relating to the existence, interpretation, performance or termination of the contract entered into between Happy Heroes and the Customer, even in the event of multiple defendants, shall, failing an amicable agreement, fall under the exclusive jurisdiction of the Courts of the location of Happy Heroes' registered office.
- Exception: For individual customers (consumers), the legal rules of jurisdiction apply. However, for any customer acting in a professional capacity, exclusive jurisdiction is granted to the courts of the jurisdiction of our registered office.
10.5 Independence of clauses (Severability clause) If any of these clauses were to be declared null or unenforceable by a court decision, the other provisions would remain in force and retain their full force and scope, with the parties undertaking to negotiate in good faith an equivalent replacement clause.
